Terms and Conditions

These terms govern your use of our software development services and products. Please read them carefully.

1. Acceptance of Terms

By engaging Mayank Motors for services or accessing our products, you agree to be bound by these Terms and Conditions. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

2. Services Description

Mayank Motors provides custom software development, website development, e-commerce solutions, CRM development, social media management, and WhatsApp integration services. The specific scope of services will be defined in a separate Statement of Work (SOW) or service agreement for each project.

3. Client Responsibilities

  1. Provide accurate and complete information required for project execution
  2. Designate a project representative with decision-making authority
  3. Provide timely feedback and approvals during the development process
  4. Ensure all necessary licenses for third-party software or content
  5. Maintain confidentiality of any development credentials provided

4. Fees and Payment

  1. Fees will be as specified in the project proposal or SOW
  2. Payment terms are typically 50% upfront with balance upon completion, unless otherwise agreed
  3. Late payments may incur interest at 1.5% per month
  4. Client is responsible for all taxes, duties, and other governmental charges

5. Intellectual Property

  1. Client retains ownership of all pre-existing intellectual property provided to Mayank Motors
  2. Upon full payment, ownership of custom-developed software and deliverables transfers to Client
  3. Mayank Motors retains rights to any proprietary tools, frameworks, or methodologies used in development
  4. Open-source components will be used in accordance with their respective licenses

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information received from the other party. This obligation continues for 3 years after termination of services. Confidential information does not include information that is or becomes publicly available through no breach of these terms.

7. Warranties & Limitations

  1. Mayank Motors warrants that services will be performed in a professional manner consistent with industry standards
  2. Software is provided "as is" without warranty of merchantability or fitness for a particular purpose
  3. Client is responsible for testing and accepting deliverables before deployment
  4. Any third-party services or platforms (e.g., WhatsApp API) are subject to their own terms and limitations

8. Liability

Mayank Motors's total liability for any claim related to services shall not exceed the fees paid by Client for the specific project giving rise to the claim. In no event shall Mayank Motors be liable for any indirect, incidental, special, or consequential damages.

9. Termination

  1. Either party may terminate a project with 30 days written notice
  2. Upon termination, Client shall pay for all services rendered and expenses incurred up to termination date
  3. Termination does not relieve Client of payment obligations for work already performed

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction]. Any disputes shall be resolved in the courts of [Your Jurisdiction].

11. Changes to Terms

Mayank Motors reserves the right to modify these Terms at any time. Continued use of services after changes constitutes acceptance of the modified Terms.
